These Terms constitute a legally binding agreement between you (“Customer,” “you,” “your”) and NHN Commerce LLC. Please read them carefully. They include important information about your rights, limitations of liability, dispute resolution by binding arbitration, and a waiver of class-action claims.

2. Use of the Website

2.1. Eligibility

By using our Site, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction).

  • You have the legal capacity to enter into a binding contract.

  • You will comply with all applicable laws and regulations.

2.2. Account Registration

You may browse our Site without creating an account. However, to place an order, you may be required to create an account or provide certain personal information (name, email, shipping address, payment details). You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3. Prohibited Conduct

You agree not to:

  • Use our Site for any illegal purpose or in violation of any law.

  • Interfere with or disrupt the security, integrity, or performance of the Site.

  • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site.

  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.

  • Transmit any viruses, malware, or other harmful code.

  • Harvest or collect personal information of other users without their consent.

We reserve the right to suspend or terminate your access to the Site if you violate these prohibitions.

3. Product Information & Accuracy

3.1. Descriptions & Specifications

We strive to provide accurate, detailed descriptions of our products, including dimensions, wood types, finishes, and features. However, we do not warrant that product descriptions, photographs, or other content on the Site are entirely error-free, complete, or current. For example:

  • Wood grain and color: Natural solid wood varies in grain pattern, color, and mineral streaks. The product images are representative but may not exactly match the item you receive. This variation is a feature, not a defect.

  • Measurements: Dimensions (e.g., table length, seat height) are approximate and may vary slightly due to handmade production processes.

  • Stains and finishes: Monitor settings and lighting can cause the displayed color to differ from the actual finish. We strongly recommend ordering free stain samples before committing to a custom order.

3.2. Availability & Backorders

All products are subject to availability. Some items, especially custom Amish furniture, are made to order and have lead times of 8–12 weeks or longer. If a product is out of stock or backordered, we will notify you via email and provide an estimated shipping date. You may cancel a backordered item at any time before it ships for a full refund.

3.3. Typographical Errors

In the event a product is listed at an incorrect price or with incorrect information due to a typographical error, we reserve the right to refuse or cancel any orders placed for that product. If we cancel an order after your payment has been processed, we will issue a full refund via Stripe to your original payment method.

4. Pricing, Taxes, & Payment

4.1. Prices

All prices displayed on our Site are in United States Dollars (USD) unless otherwise indicated. Prices are subject to change without notice. However, once you place an order and we accept it, the price is locked in (subject to any promotional adjustments).

4.2. Taxes

We are required to collect sales tax on orders shipped to certain U.S. states where we have nexus (currently Wyoming). The applicable sales tax will be calculated at checkout based on the shipping address. For international orders, you are responsible for all import duties, customs fees, and value-added taxes (VAT) levied by your destination country. These are not collected by us.

4.3. Payment Methods

We accept payment exclusively through Stripe, our third-party payment processor. Accepted payment methods include:

  • Major credit cards (Visa, Mastercard, American Express, Discover, Diners Club, JCB)

  • Debit cards (with Visa or Mastercard logo)

  • Digital wallets: Apple Pay, Google Pay

  • Other region-specific methods as offered by Stripe (e.g., Klarna, ACH)

By providing your payment information, you authorize us to charge the total order amount (including shipping and taxes) to your selected payment method. All transactions are processed by Stripe, and we do not store your full card details. For more information, see our [Payment Methods] and [Privacy Policy].

4.4. Authorization & Payment Timing

For custom-made Amish furniture, we may place an authorization hold on your card at the time of order but typically charge the full amount when the order is confirmed (within 24-48 hours). For in-stock teak items, payment is captured at checkout. For backorders, we may charge at the time of order or when the item ships, as disclosed on the product page.

5. Orders & Acceptance

5.1. Order Placement

When you place an order through our Site, you are making an offer to purchase the products in your cart. You will receive an automated email acknowledging receipt of your order. This email does not constitute acceptance of your order.

5.2. Order Acceptance

We reserve the right to accept or reject your order for any reason, including but not limited to:

  • The product is no longer available.

  • We have identified a pricing or product description error.

  • We suspect fraudulent or unauthorized activity.

  • We cannot verify your shipping or billing information.

If we reject your order after payment has been processed, we will issue a full refund via Stripe. An order is considered accepted only when we send a shipping confirmation email (for in-stock items) or a production confirmation email (for custom-made items).

5.3. Order Limits & Resale

We sell products for personal, non-commercial use only. We reserve the right to limit quantities ordered per customer or per address. If you wish to purchase products for resale, please contact us at namhuyedx@gmail.com for wholesale terms.

6. Shipping & Delivery

6.1. Shipping Policy

Our shipping practices are detailed in our separate [Shipping Policy]. By placing an order, you agree to the terms of that policy. Key points:

  • We ship to all 50 U.S. states and select international destinations.

  • Shipping costs are calculated at checkout.

  • Estimated delivery times are provided as guidelines and are not guaranteed, especially for custom orders (8-12 weeks lead time).

6.2. Risk of Loss & Delivery

For shipments to the United States, risk of loss and title for products pass to you upon delivery to the carrier. For international shipments, risk of loss passes upon delivery to the first carrier. We are not responsible for delays caused by carriers, customs, or events beyond our control (force majeure).

6.3. Inspecting Your Delivery

When you receive your order, please inspect the packaging and product immediately. If you notice any damage, note it on the delivery receipt (if possible) and contact us within 7 days as described in our [Refund and Return Policy].

7. Returns, Refunds, & Cancellations

7.1. Return Policy

All returns, refunds, and cancellations are governed by our [Refund and Return Policy]. That policy is incorporated into these Terms by reference. Key highlights:

  • You have 30 days from delivery to report damage or defects.

  • Custom-made Amish furniture is generally non-returnable for change of mind.

  • Restocking fees may apply to eligible returns.

7.2. No Returns for Disassembled or Modified Items

We cannot accept returns of items that have been assembled, modified, or altered in any way (except for normal inspection). If you attempt to return such an item, we will refuse the shipment and you will be responsible for all associated costs.

8. Title & Risk of Loss

Title to all products sold by NHN Commerce passes to you upon our delivery to the carrier for shipment to you. Risk of loss also passes to you at that time. This means that if a package is lost or damaged in transit, the claim must be filed with the carrier. However, as a customer service, we will assist you in filing claims and will provide replacements or refunds for confirmed shipping damage as outlined in our return policy. For international shipments, you may be the importer of record, and any loss or damage during customs clearance is your responsibility.

9. Intellectual Property

9.1. Our Content

All content on our Site, including but not limited to text, graphics, logos, images, product photographs, videos, software, and compilations, is the property of NHN Commerce LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, display, prepare derivative works of, or otherwise use any of our content without our prior written consent, except for personal, non-commercial use (e.g., saving a product image for reference).

9.2. Trademarks

“NHN Commerce,” “AmishTables,” “Goldenteak,” and all related logos and product names are trademarks or registered trademarks of NHN Commerce LLC or its licensors. You may not use these marks without express permission.

9.3. Infringement Claims

If you believe that any content on our Site infringes your copyright or other intellectual property rights, please contact us at namhuyedx@gmail.com with a detailed description of the alleged infringement, including the URL, your contact information, and a statement of good faith.

10. User Content & Reviews

10.1. Submission of Content

We may allow you to post reviews, comments, photos, or other content (“User Content”) on our Site. By submitting User Content, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and display such content in connection with our business, including on social media and marketing materials. You retain ownership of your User Content, but you waive any moral rights.

10.2. Content Guidelines

You agree not to post User Content that:

  • Is defamatory, abusive, obscene, or hateful.

  • Infringes any third-party intellectual property or privacy rights.

  • Contains spam, advertising, or commercial solicitations.

  • Falsely implies an affiliation with us.

We reserve the right to remove or edit any User Content for any reason without notice.

10.3. No Compensation

We do not pay for User Content. Your submission is voluntary and you understand that we may use it without compensation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NHN Commerce LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, personal injury, or property damage, arising out of or in connection with your use of our Site or the purchase or use of our products, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or your purchase exceed the total amount you paid to us for the specific product giving rise to the claim, within the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. This limitation is a fundamental basis of the bargain between you and NHN Commerce.

12. Disclaimer of Warranties

12.1. As-Is Basis (Site Use)

Except as expressly stated in our product warranties, the Site and all content, information, and services provided through the Site are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

12.2. Product Warranties

For our products, we provide specific warranties as described in our [Refund and Return Policy] and individual product pages. For custom Amish furniture, the warranty covers manufacturing defects for one year from delivery. For Goldenteak outdoor furniture, the teak wood is warranted against structural failure for five years. These warranties are the sole and exclusive warranties provided by us. We disclaim all other warranties, whether express or implied, to the maximum extent permitted by law.

12.3. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13. Indemnification

You agree to indemnify, defend, and hold harmless NHN Commerce LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms.

  • Your use of the Site or any products purchased from us in a manner that violates any law or third-party right.

  • Any User Content you submit.

  • Your negligence or willful misconduct.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

14. Governing Law & Dispute Resolution (Arbitration)

14.1. Governing Law

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Sheridan County, Wyoming, unless the parties agree to arbitration as set forth below.

14.2. Binding Arbitration

Except for small claims actions (claims under $5,000) and claims for injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Sheridan, Wyoming, before a single arbitrator administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitrator’s decision shall be final and binding, and judgment on the arbitration award may be entered in any court having jurisdiction. The parties shall bear their own costs and attorneys’ fees, unless the arbitrator awards them to the prevailing party under applicable law.

14.3. Opt-Out of Arbitration

You may opt out of this arbitration agreement within 30 days of your first acceptance of these Terms by sending an email to namhuyedx@gmail.com with the subject line “ARBITRATION OPT-OUT” and your full name and address. If you opt out, you will not be bound by the arbitration provision but remain bound by all other Terms.

15. Class Action Waiver

To the fullest extent permitted by law, you and NHN Commerce agree that any dispute resolution proceedings, whether in arbitration or court, will be conducted only on an individual basis and not as a class, consolidated, or representative action. Neither you nor we will bring a claim as a plaintiff or class member in any class action, class arbitration, or other representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement (Section 14) shall be null and void.

16. Privacy & Data Protection

Your use of our Site and any personal information you provide are subject to our [Privacy Policy]. By using our Site, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. You acknowledge and agree that we are not liable for any damage or loss caused by your use of any third-party site. We encourage you to read the terms and conditions and privacy policy of any third-party site you visit.

Our payment processing is handled by Stripe, which has its own terms and privacy policy. By using Stripe, you agree to Stripe’s terms.

18. Termination

We may terminate or suspend your access to our Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will cease immediately. If your account is terminated, you must pay any outstanding amounts owed to us. Provisions that by their nature should survive termination (e.g., intellectual property, limitation of liability, indemnification, governing law) shall survive.

You may terminate your account at any time by contacting us. However, any orders placed before termination will be fulfilled according to these Terms.

19. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with our Privacy Policy, Shipping Policy, Refund and Return Policy, and any other policies referenced herein, constitute the entire agreement between you and NHN Commerce with respect to the subject matter hereof, superseding any prior agreements or communications.

20. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. The most current version will be posted on this page with the “Last Updated” date at the top. Changes become effective immediately upon posting. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
